Areas of Practice
Mr. Telford has been a Member of Severson & Werson since 1990, where he is the senior member of the real estate practice group. His concentration since joining Severson has been representation of financial institutions in construction and real estate secured lending, workouts of troubled loans, realizing upon real estate collateral and REO portfolio asset dispositions, commercial real estate development, and sale/leasing of office, commercial and industrial properties.
His practice at Severson has also included representation of governmental agencies, municipalities and real estate developers in matters before the U.S. Surface Transportation Board and the California Public Utilities Commission.
Before joining Severson, Mr. Telford was General Counsel of Santa Fe Pacific Realty Corporation 1985 – 1989; General Counsel of Southern Pacific Land Company from 1983 to 1985; General Attorney in the Law Department of Southern Pacific Company from 1970 through 1982 responsible for the legal affairs of the Company’s industrial and commercial real estate development, sales and leasing, and natural resource activities; and from 1966 to 1970 represented the Company and its subsidiary rail carriers before the Interstate Commerce Commission, California Public Utilities Commission, and Arizona Public Service Commission in various regulatory proceedings.
Mr. Telford is admitted to practice in the state of California and federal courts.
Mr. Telford is a member of the Urban Land Institute, the Real Property Law Section of The State Bar,of California and member of the Bar Association of San Francisco.
Mr. Telford's substantive expertise includes the following areas:
Real Estate Law: Representation of financial institutions, developers, owners and tenants in matters requiring expertise in mortgage lending and other financing techniques, acquisition, land use, development, joint ventures, construction, leasing, sales and tax deferred exchanges of commercial, industrial and residential properties, including loan restructuring, foreclosure on and disposition of REO office, troubled properties.
Railroad Law: Representation of cities and other governmental entities, railroads, and private parties in matters before the US Surface Transportation Board and the California Public Utilities Commission.
Representation of sellers, buyers, lenders and tenants in sales, exchanges, acquisition, financing and leasing of hotels, shopping centers, office, commercial, industrial, and apartment projects, general-corporate aviation Fixed Base Operations, call centers, chain and individual restaurant operations and private school campuses.
Representation of lending institutions and borrowers in negotiation and documentation of construction and mortgage loans for commercial properties such as hotels/motels, multi-screen motion picture theater complexes, automobile dealerships, high and mid-rise office buildings, industrial parks and individual buildings, multi-family and single family residential projects, work-out of troubled projects, foreclosure on and disposition of commercial, industrial and residential foreclosed properties for lenders.
Development, construction, operation, leasing and sale of industrial - business parks, condominium projects, warehouse/showroom facilities, high-rise office buildings and hotels, including entitlements process and environmental review.
Representation of joint venture partners in joint ventures for development, construction, leasing and operation of major high rise office buildings, retail centers and hotels in San Francisco, San Jose, Los Angeles, Dallas and New Orleans, including negotiation and documentation of partnership agreements, construction and long-term financing, construction contracts, hotel management agreements, leasing and sales.
Representation of real estate development company in securing California Public Utilities Commission approval of public grade crossing of tracks of the Peninsula Corridor Joint Powers Board to serve major development project in San Francisco.
Representation of municipality before the U.S. Surface Transportation Board in railroad merger case; secured railroad financial contribution of 50% of the cost of new grade separation to mitigate impacts of increased rail traffic arising from merger.
Representation of municipality before California Public Utilities Commission; secured approval of bike path on right of way of the Peninsula Corridor Joint Powers Board and approval of new pedestrian underpass of the tracks of Peninsula Corridor Joint Powers Board.
Represented lender in sale of defaulted commercial real estate loan to distressed asset investor.
Represented a major automobile manufacturer in the sale of its multiple building Southern California campus.
Represented flood control district in connection with relocation of railroad facilities required to implement flood control project.
Represented borrower in $400,000,000 mortgage loan secured by 126 properties located in seven different States.
