The firm’s attorneys have expertise in a diverse range of transactions, such as leveraged buyouts, asset acquisitions, refinancings, loans and lines of credit, either unsecured or secured by current and fixed assets, real and/or personal property. The firm’s lawyers also specialize in lending to debtors under the protection of the bankruptcy code and other workout related financings. The firm’s attorneys are experienced in syndicated loans, and preparing and structuring the documentation for loans to be participated.
The specialty of the firm is dealing with unusual personal property collateral, including intellectual property. The firm has experience in lending and taking collateral in most industries, including chemicals, petroleum, agricultural, manufacturing, distribution, trucking, technology and communication, mining, power generation and distribution, fishing and shipping, and is experienced in the unique requirements of lending to specific industries.

Revised Article 9 (of the Uniform Commercial Code), adopted
by most states in 2001, seeks to simplify and clarify the rules
for creation, perfection, priority and enforcement of a security
interest and bring greater certainty to financing transactions.
One of the firm’s members has served as co-vice chair
of the California Uniform Commercial Code Committee of the State
Bar and has been an active educator concerning RA9.
